- Company Secretarial services including the preparation of Board Meeting agenda, drafting minutes, completing returns to Companies House and the like.
- Basic HR and personnel advice assisting clients both in recruitment and termination, appropriate employment documentation, bonus schemes, share options etc.
- Shareholder agreements, Memorandum and Articles of Association - issues which may be ignored, but which are particularly important for SME businesses involving several shareholders.
- Banking relations, the preparation of budgets, forecasts, variance analysis, helping in the negotiation of bank facilities including overdrafts, term loans, factoring and invoice discounting, leasing and hire purchase, letters of credit etc.
- Funding and helping with acquisitions and disposals, incoming investment from business angels, venture capital and other sources such as grants and state aid. In addition, introductions may be made to finance houses which might lead to quotes on AIM, the PLUS Stock Exchange, etc.
- Management accounting systems from the review and preparation of basic monthly profit and loss accounts to more detailed project and job costing analysis. Help can be provided with cash flow analysis, debtors and creditors management, general credit control etc.
- Regulatory and management issues from Health and Safety, quality systems documentation, risk management and general insurance, disaster and recovery planning, etc.
- Preparation of business plans.
- Partnership, co-operation and similar agreements with third party companies, Universities, and other bodies in the UK and overseas.
- Intellectual Property management including advice in connection with patents both with protection and new applications, Trademark applications, Registered Design when applicable, copyright issues, know-how, confidentiality and nondisclosure agreements and some other matters. Help with licensing of applicable IP.
- General standard documentation of agreements concerning the above, where specialist (and often expensive) legal advice is probably not necessary.
